Draft for attorney review — not yet in force.
AssemblyWright AI — Refund Policy
Effective date: [DATE]
The short version. This box is a plain-English summary for convenience. It is not part of this policy, and where it differs from the numbered sections below, the sections govern.
30 days, money back. Ask within 30 days of your first payment and we refund it in full, with no reason needed, once per Customer Account. The refund ends the subscription and, with it, the paid package; your Workspace and everything in it stay.
Subscriptions renew automatically until you cancel. Cancel at any time and you keep your package to the end of the period you paid for. Paddle, our reseller, takes payment and pays refunds; we decide them under this policy and instruct Paddle to issue them. A trial started at checkout takes the first payment automatically when it ends unless you cancel first (Section 3).
To change package, write to billing@assemblywright.ai. We change the subscription you already have. A change that costs more is charged pro rata at once. One that costs less takes effect at once and is credited against your next bills; credits are not paid out as cash, except as part of a refund this policy gives for the unused term. Please do not cancel and buy again — you would pay for the rest of the old period as well as the new one.
After the first 30 days there are no partial refunds, except in the cases Section 5 lists (for example where we end the Service, break our side of the deal, or change it in a way you reject), where we suspended or ended your account by mistake (Sections 6 and 7), and for charges made in error (Section 10).
A refund does not undo work already done. Builds already run, model usage already incurred and anything already written to a CRM org on your instruction stay as they are; so do your Deliverables and Knowledge Base, which nothing in this policy deletes. Cancelling does not close your Workspace, and closing a Workspace does not cancel your subscription (Section 6).
This policy says when you can get your money back for a paid AssemblyWright AI package, and how. It is part of the Agreement you accept with the AssemblyWright AI Terms of Service (Terms, Sections 4.6 and 16.1), and it governs every package you buy. The Service is provided by Evadaroo & Company, LLC, a Pennsylvania limited liability company doing business as AssemblyWright AI (registration pending) ("AssemblyWright", "we", "us"). Capitalized words, such as Customer, Customer Account, Workspace, User, Build, Deliverable, Connected Org, Order, AUP and DPA, mean what the Terms define; "you" is the Customer — the organization or individual that opens a Workspace, holds one as its owner, or buys a package for it — as the Terms use it. A subscription belongs to your Customer Account — the record under which the Terms group your Workspaces for billing — and covers every Workspace in it.
Who sells, who decides, who pays. Our order process is conducted by our online reseller Paddle.com, which is the Merchant of Record for all our orders. An order, here, is a purchase made through Paddle's checkout; a fee that a signed Order says we invoice ourselves is not placed through Paddle, and Section 2 says how a refund of it is paid. We decide refund requests under this policy; Paddle, as Merchant of Record, reviews and pays them on our instruction (Section 2 says what happens when Paddle cannot or does not). Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms) also apply to your purchase and govern the purchase transaction between you and Paddle. If we ever change payment provider, we will update this policy before taking any payment through the new one.
How it fits with the other documents. Section 16.2 of the Terms decides which document governs where they differ. In short: where a signed Order, including a Pilot Agreement, sets its own fee and refund terms, those apply instead of this policy; and if this policy and the Terms differ about a refund, this policy applies.
1. 30-day money-back on your first payment
If AssemblyWright is not right for you, ask within 30 days of your first payment for a paid package and we will refund that first payment in full. You do not have to give a reason.
- The 30 days run from the date of your first payment shown on Paddle's receipt. Your request must reach us, or Paddle, by the end of the 30th day.
- Monthly and annual alike. On a monthly package the refund is your first month; on an annual package it is your first annual payment. It also covers any charge added to that same subscription before you ask, for a larger package or a change of billing interval; a renewal charged after your request reached us is refunded as a charge made in error (Section 10).
- What is refunded is the full amount Paddle charged you for those payments, including any tax it collected (Section 2 says how tax is handled in a refund we pay directly). Any part of a bill settled with a credit from a change of package (Section 4) is not paid out as cash, and the refund ends any such credit on the subscription.
- Once per Customer Account (see Once per Customer Account below). A second Workspace, a second Customer Account opened by the same Customer, a change of package, or a return after cancelling does not start the 30 days again.
- Trials. A trial costs nothing, so there is nothing to refund for it. If you gave a card to start a trial at checkout, the first payment is taken automatically when the trial ends unless you cancel before then (Section 3), and the 30 days start from that payment.
- A refund ends the subscription. When we confirm the refund we cancel the subscription with immediate effect, so nothing more is charged, and your entitlement to the paid package ends with it. Your Workspaces stay, and so does everything in them — Builds, Deliverables and their versions, the Knowledge Base, Bench memory, connections and settings — and export stays available (Terms, Sections 4.11 and 11.5(d)). What a Workspace can use without a paid package is what Sections 4.1 and 4.11 of the Terms describe; we may switch off paid features once the subscription has ended. A Build that is running when the refund is confirmed may finish.
- A refund does not undo work already done. Builds already run, model usage already incurred, and anything already written to a Connected Org on your instruction or under an execution mode you chose, stay as they are (Terms, Section 7). We never write to a Connected Org because a subscription ended, and we never undo a write because of a refund.
- This is your remedy for being dissatisfied in those 30 days (Terms, Section 12.3). It does not limit a claim that we broke the Terms.
Once per Customer Account. This refund is counted once per Customer Account (Terms, Section 4.6), and a Customer cannot start it again by opening another: for this rule, an organization, together with anyone acting for it, is one Customer however many Workspaces, Customer Accounts, email addresses or payment methods it uses, and so is a person buying for themselves, and a second Customer Account opened by the same Customer does not earn a second refund. To apply the rule we may compare a request with our record of earlier refunds and with Paddle's records of the buyer, and we may treat the same payment details, the same Workspace owner, or the same Connected Org as a sign of the same Customer. A refund of a payment that Paddle gives you, under its own Buyer Terms or under the law, counts as your Section 1 refund; a correction of a charge made in error, or a refund of tax (Section 10), does not. We keep a record of the refunds and payment disputes Paddle tells us about, so that we can apply this rule (Privacy Policy, Section 1.6).
When we may decline. We will not refund under this Section where we reasonably believe the request is part of a pattern of buying and refunding (for example, a new Workspace, Customer Account, address or payment method used to take the money-back again), where the payment was made fraudulently, where Section 7 says no refund is due, or where the law prohibits the refund, including sanctions law. If we decline, we tell you why, and you can reply with anything we have missed.
2. How to ask, and how a refund is paid
How to ask. Write to billing@assemblywright.ai from the email address of an owner of the Workspace, or from the address Paddle's receipt was sent to, naming your Customer Account or one of its Workspaces and, if you have it, the invoice or transaction number on Paddle's receipt. If the request comes from an address that is not an owner's, we confirm it with a Workspace owner before we cancel anything. You can also ask Paddle through the link on your receipt; requests Paddle refers to us are decided under this policy. We aim to reply within five business days. Your request counts from the day it reached us (or Paddle), so a slow reply, or the time an owner takes to confirm it, never costs you the 30 days.
What happens next. We confirm the request, cancel your subscription so nothing further is charged, and instruct Paddle to issue the refund. Nothing in the product issues a refund: a person at AssemblyWright instructs Paddle through Paddle's own tools, and the paid package ends when the subscription is cancelled. Your Workspaces and your content stay.
Refunds Paddle gives itself. Paddle may also refund a payment under its own Buyer Terms, including, at its discretion, within 14 days of a renewal. That refund counts as your Section 1 refund (Section 1, Once per Customer Account). When we learn that Paddle has refunded a payment in full, we cancel the subscription as we would for a refund under Section 1. That is a step a person at AssemblyWright takes by hand, so a renewal can be charged before we take it; if it is, we refund it (Section 10).
How it is paid. Paddle reviews and issues the refund, normally to the payment method you used. A refund Paddle pays is made in the currency you paid in, is worked out from what Paddle actually charged you after any discount, and includes the tax Paddle collected on the amount refunded. If Paddle cannot refund that payment method (for example, because the payment is too old to reverse or the card has been closed), or does not approve a refund this policy promises for a reason other than suspected fraud or a legal bar, we first ask Paddle to reconsider or to refund you another way. If it still cannot or will not, we refund you directly, by bank transfer or another method we agree with you, within 30 days of confirming the refund. A refund we pay directly is the amount Paddle would have refunded, less any tax Paddle collected on it, because that tax was paid to Paddle and not to us; we give you a written statement of the refund to support any claim for that tax. If Paddle declines a refund because it suspects fraud, or because the law forbids it, we may decline too (Section 1, When we may decline), and we tell you. We are not responsible for exchange-rate differences or for charges your bank applies. How long a refund takes to reach you after it is issued depends on Paddle and on your bank or payment provider.
A fee we invoice ourselves. Where a signed Order sets a fee that we invoice and collect ourselves rather than through Paddle, a refund of it that this policy or the Order gives is paid by us directly, in the currency we invoiced, including any tax we charged on it, within 30 days of our confirming it; Paddle plays no part in it. For such a fee, a date this policy counts from Paddle's receipt is counted instead from the day your payment reached us.
Receipts. Paddle emails a receipt for each payment, which explains how to contact Paddle about it. You can ask either of us.
3. Trials, renewals and cancelling
Opening a Workspace costs nothing. No payment is taken to open a Workspace, whether you were invited to one or opened it yourself, and nothing is charged for it until an owner or admin buys a package. Using a Workspace without a package is not a trial of a package, and nothing about it is refundable.
Trials. A trial of a package exists only where the checkout you use says so, or where a signed Order or our written offer sets one; a trial of a single feature that we switch on for your Customer Account ends on its own date and, unless an Order says otherwise, costs nothing and is not a payment. A signed Order, our written offer, or what we tell you when we set up a trial for you can set different terms for it. We offer one package trial per Customer Account (Terms, Section 4.5), and we may decline a trial, or end one early, where one has already been had or where we reasonably suspect abuse. A trial that starts at checkout collects your payment details through Paddle. Unless you cancel before the trial ends, Paddle takes your first payment automatically when it ends, for the package and billing interval shown at checkout, or as we changed them for you during the trial (Section 4), and that payment is covered by Section 1. You can cancel during the trial from Admin › Plan & billing › Manage billing, which opens Paddle's customer portal, or by writing to billing@assemblywright.ai from the address of an owner or admin; nothing is then charged.
Renewals. A paid package renews automatically at the end of each monthly or annual period, for a period of the same length, at the price then in force for your package, until you cancel. A change to the price of your package, or to what it includes, applies to a renewal only as Section 4.10 of the Terms allows, with the notice it requires. We do not send our own reminder before a renewal, monthly or annual, and we do not send one before a checkout trial ends. Paddle emails a receipt for each payment, and Paddle's customer portal, opened from Admin › Plan & billing › Manage billing, shows the date your subscription next renews, your receipts and your payment method. Admin › Plan & billing shows the package your Customer Account holds and the date your subscription next renews or ends.
Cancelling. Cancelling stops the next renewal. An owner or admin can cancel at any time from Admin › Plan & billing › Manage billing, which opens Paddle's customer portal, or by writing to billing@assemblywright.ai from the address of an owner or admin of a Workspace in the Customer Account (Terms, Section 4.8); before acting on an email we may ask an owner to confirm it (Terms, Section 16.5). Your paid package stays in place until the end of the period you have paid for; then the subscription ends and your content stays. A cancellation by email takes effect when we confirm it, and if a renewal is charged after you wrote to us to cancel, we refund it (Section 10). While a Customer Account is suspended, cancel by email (Section 6).
Ending or reducing a package does not hold your content back. Cancelling, or moving to a smaller package, does not by itself delete anything: your Builds, Deliverables and their versions, Knowledge Base, Bench memory, Delivery board, connections and settings stay, and export stays available (Terms, Sections 4.11 and 11.5(d)). What changes is which features you can use. A feature the new package leaves out can be switched off from the day the change takes effect, and once a subscription has ended we may switch off the paid features; a Build that is running when a feature is switched off may finish. Your Connected Orgs are untouched: nothing is written to an org because a package changed or ended, your credentials stay until you disconnect or close the Workspace, and disconnecting is yours to do at any time (Terms, Section 7). (A Workspace ends only when an owner closes it, or under the Terms; see Section 6.)
4. Changing package
There is no self-serve change of package. To change your package or your billing interval, write to billing@assemblywright.ai from the address of an owner or admin of the Workspace, naming your Customer Account and the package and interval you want. Paddle's customer portal, opened from Admin › Plan & billing › Manage billing, lets you update your payment method, see your receipts and cancel; it does not change the package. We make every change to the subscription you already have, and before we make it we tell you what Paddle will charge, and when; the change is made when you confirm, or on a later day in the same period that you name. We cannot change a subscription whose payment is overdue (update the payment method in Manage billing first) or one that is paused; write to us, and we can resume it and make the change. We do not move a Customer Account onto a package we do not sell at the time (Terms, Section 4.1). Paddle accepts no change in the 30 minutes before a renewal. A package at a price we agreed with you in a signed Order is changed as the Order says, or by writing to us.
- A change that raises what the subscription costs (a package with a higher price) is charged at once, pro rata for the rest of the current period, when we make it. Paddle calculates the amount and sends you a receipt. If that charge fails, the change is not made.
- A change that lowers what it costs, or leaves it the same, takes effect from the day we make it, and a feature the new package leaves out can be switched off from then (Terms, Section 4.11). Nothing is charged at the time of the change, and the unused value of what you gave up, for the rest of the current period, is credited against your next bill or bills. Whether a change raises or lowers the cost is decided by the prices of the old and new package for the billing interval, not by their names. Credits are not paid out as cash, except as part of a refund of the unused term under Section 5 or Section 7. A credit still unused when the subscription ends is not refunded, unless the subscription ended in a case where Section 5 or Section 7 refunds the unused term, when it is refunded with it; otherwise Paddle may apply it to a later purchase by the same Customer. A refund under Section 1 also ends any credit on that subscription.
- Changing the billing interval is settled at once, pro rata, when we make it. Moving from monthly to yearly charges the year at once, less the unused part of the current month. Moving from yearly to monthly turns the unused part of the year into a credit against your monthly bills; like any credit, it is not paid out as cash if you then cancel. Before we make either change we tell you what Paddle will charge now and when your next bill falls.
- During a trial that started at checkout, nothing is charged when we make a change. The first payment, when the trial ends, is for the package and billing interval as they then stand.
- People. Adding or removing people in a Workspace, or adding a Workspace to your Customer Account, does not change what you pay unless the price shown at checkout, or your Order, says it does.
- One subscription per Customer Account. Admin › Plan & billing will not start a second subscription while one is live, because two subscriptions would bill you twice; it tells you to write to us or to cancel first. If a second one is nevertheless started — from a checkout link opened before the first was bought, for example — both bill you until one of them is cancelled, and your package follows the newer one. Write to billing@assemblywright.ai: we cancel the one you do not want and refund what it charged for days the other had already paid for, as a duplicate charge (Section 10).
- Please change your package rather than cancel and buy a new one. If you cancel and buy a new package instead, the new subscription starts when you buy it, and what you already paid for the rest of the old package's period is not refunded or credited against the new one.
5. After the first 30 days
- No pro-rata refunds. We do not refund part of a period — whether you cancel, move to a smaller package, or stop using the Service part-way through it, and including the unused months of an annual term and any included Builds or other allowance you did not use — except in the cases below and where Sections 3, 6, 7 (If we got it wrong) and 10 say we refund. Moving to a smaller package earns a credit instead (Section 4).
- When we refund the unused term. We refund the fees prepaid for the part of the paid period that remains after the subscription ends in each of the cases (a) to (h) below.
- (a) we end the Service, your subscription or your Workspace for our own convenience, or stop offering AssemblyWright (Terms, Sections 11.2 and 16.19);
- (b) an infringement claim leads us to end the affected part of the Service (Terms, Section 13.1), and we end your subscription or you end it within 30 days of our notice that the part has ended — or, where the part ended is only some features, you ask us within those 30 days to move you to a package without them, in which case we refund the difference in price for the remaining days;
- (c) a material change to the Terms, the AUP, the DPA or this policy is unacceptable to you, and you end your subscription before it takes effect (Terms, Section 16.3; AUP, Section 10; DPA, Section 12.3; Section 12 of this policy);
- (d) you object to a new sub-processor on reasonable data-protection grounds within 30 days of our notice, as DPA Section 5.3 allows, we cannot offer a reasonable alternative, and you then end your subscription, or, where the new sub-processor serves only some features, you ask us to switch those features off and move you to a package without them, in which case we refund the difference in price for the remaining days (DPA, Section 5.3);
- (e) you end the Agreement because we materially breached it and did not cure the breach within 15 days of your notice (Terms, Section 11.3);
- (f) we retire a feature in a way that materially reduces the package you paid for, and you end your subscription before, or within 30 days after, the retirement takes effect (Terms, Section 3.2);
- (g) we breach our limited warranty, you tell us within 30 days of discovering the breach, we cannot correct it within 30 days of your notice, and you end the affected subscription (Terms, Section 12.1);
- (h) a Personal Data Breach caused by our breach of the DPA affects your Workspace, and you end the Agreement within 60 days of our notice of it (Terms, Section 14.5; DPA, Section 11.4).
- When the subscription ends, in these cases. In case (a), and in case (b) where we end it, the subscription ends on the day we end it. Where you end it, write to billing@assemblywright.ai (or, for a notice ending the Agreement, legal@assemblywright.ai) from an owner's address, naming the case, within any time the case allows. We then cancel the subscription with immediate effect on the day your message reaches us, or on a later day in the same period that you name in it (in case (c), a day before the change takes effect), so that your entitlement to its paid features ends and nothing more is charged; the Terms say what then happens to your Workspace and your content (Terms, Sections 4.11 and 11.5). Cancelling in Manage billing alone keeps your package to the end of the period you paid for and does not by itself give this refund, but if you cancelled there for one of these reasons, you can still write to us within the case's time. In cases (b) and (d), where you move to another package instead, the refund is counted from the day of the move.
- How the refund is counted. By days. Where the subscription ends, the refund is the price for the whole current period of the package you hold on the day it ends, after any discount, times the share of that period's days left after that day, plus any credit from Section 4 that is still unused. In cases (b) and (d), where you move to another package, it is the difference between the two packages' prices for the days left in the period after the move; if the move earned a credit under Section 4 for those days, the refund replaces that credit. Tax is refunded with it, and the refund is paid, as Section 2 describes.
- Allowances and usage. Where your package, your checkout or your Order names a number of included Builds or another allowance, the unused part is not refunded and does not carry over from one period to the next. Model usage already incurred is never refunded. A Build that pauses at a spend ceiling or a model-call budget and waits for your approval, or that is refused by a daily or concurrency limit, is the Service working as the Terms describe (Terms, Sections 4.2 and 4.4), and is not a reason for a refund. Nor is a Deliverable you do not accept, or a review gate's verdict: that is what the review gates, the rework policy and your own checkpoints are for.
- Outages. We do not offer service credits or an uptime commitment (Terms, Section 3.4). If an outage on our side keeps you from using the Service for an extended time, write to billing@assemblywright.ai, and we may, at our discretion, offer a credit or a partial refund. Doing so once does not oblige us to do it again, for you or for anyone else.
6. Suspension, takedowns and closing a Workspace
Suspension does not by itself stop billing. A suspended Customer Account's subscription stays in place (Terms, Section 11.4). If a Customer Account we suspended under the AUP is still suspended on a renewal date, we pause or cancel that renewal with Paddle so that you are not charged for a period you cannot use, unless an amount is also unpaid (AUP, Section 8.12). That is a step a person at AssemblyWright takes by hand, so a renewal can be charged before we take it; if it is, we refund it (Section 10). For any other suspension, the subscription renews as usual, and the points below say whether you are owed anything for the time you could not use.
- If the suspension is because of you, no refund or credit is due for the suspended time. That means a suspension because you or your Users breached the Terms or the AUP (subject to Section 7), because a payment is unpaid, reversed or disputed, because a Connected Org turned out to be one you were not authorized to change (AUP, Section 1.1), or because the law, a court or an authority requires it on account of your Workspace's content or use.
- If it is not, for example where we suspend to contain a security threat that you and your Users did not cause, or by our own mistake, we make good the days you could not use the Service: we extend your paid period by that time, or credit its value against your next bill or bills. If your subscription has ended, or ends before the credit can be used, we refund that value instead. We do this when we lift the suspension, or when you ask.
- To cancel while suspended, write to billing@assemblywright.ai from an owner's or admin's address. Nobody can sign in to a suspended Customer Account's Workspaces, so Manage billing cannot be reached.
Switching off one feature, or removing one item, under the AUP — a post, an article, a Deliverable or a Knowledge Base entry — or asking you to disconnect a system or remove a User (AUP, Section 8.1), is not a reason for a refund or credit.
Closing a Workspace. An owner can close a Workspace from the product by typing its name. Closing erases every connected-system credential at once, and the Workspace then stays closed for 30 days, during which nobody can sign in to it and nothing in it can be read or exported; an owner can reopen it in that time, and after that window we erase it. Export before you close, because the product's export is not available while a Workspace is closed. Closing a Workspace does not cancel your subscription: the subscription belongs to your Customer Account and covers every Workspace in it, so cancel it in Manage billing before you close your last Workspace, or by email afterwards, if you no longer want it. If you close every Workspace in your Customer Account and leave a subscription running, we may cancel it so that nothing more is charged; that cancellation does not by itself give a refund for the remaining period, and nor does closing a Workspace before the paid period ends, unless Section 1 (within its 30 days), Section 5 or Section 7 says it does — to use one of those, write to billing@assemblywright.ai as that Section describes.
Cancelling a package is not closing your Workspace. Cancelling ends the paid package when the period you paid for ends, and nothing is deleted at cancellation. A Workspace ends only if an owner closes it, or under the Terms (Terms, Section 11.5).
7. When no refund is due
- Suspension or termination for your breach. If we suspend or terminate a Customer Account or a Workspace because you materially breached the Terms or broke the AUP — after the notice and chance to cure that Section 11.3 of the Terms and Section 8 of the AUP give, except where they allow us to act first — fees already paid are not refunded, including under Section 1 (a renewal charged while the account was suspended under the AUP, or after we terminated, is dealt with under Section 10). This does not apply where you show, and we are reasonably satisfied, that the breach was caused by someone who used your account or credentials without your authority, or by a single User whose access you removed promptly once you knew, and you have taken the steps we reasonably ask to secure the Workspace (AUP, Section 8.11). In those cases a suspension is treated as one that is not because of you (Section 6), the Section 1 refund stays available within its 30 days, and if we terminate, we refund the fees prepaid for the unused term, counted as Section 5 counts it.
- If we got it wrong. If we terminate in error — because there was no breach, or it was not yours — we refund the fees prepaid for the unused term, counted as Section 5 counts it. If we suspend in error, Section 6 applies.
- When we terminate, we cancel the subscription with Paddle so that nothing further is charged. That is a step a person at AssemblyWright takes by hand, so a renewal can be charged before we take it; if it is, we refund it (Section 10).
- Non-payment. While Paddle retries a failed payment, your package stays in place (Terms, Section 4.8 says what may change meanwhile). A subscription that ends because the payment could not be collected does not create a refund.
- Fraud, abuse or a legal bar (Section 1, When we may decline).
- A second request. The money-back in Section 1 is used once per Customer Account.
- What a Build did, or did not, do. A Deliverable you do not accept, a review gate's verdict, a Build that paused for your approval or at a spend ceiling, model usage incurred by a Build you started, or a write to a Connected Org that you or your User instructed or that ran under an execution mode you chose, is not a reason for a refund (Terms, Sections 6 and 7). What rollback can and cannot undo is stated in Section 7.6 of the Terms, and a limit of rollback is not a charge made in error.
- Charges that are not ours. We do not refund what a third party charged you: your CRM vendor, a social network's fee for posting through an account you connected, your own Paddle account's fees, your bank or card issuer, or a model provider or other service you connected with your own credentials.
- Anything else. Apart from the Section 1 refund within its 30 days and the refunds that Sections 3, 5, 6, 7 (If we got it wrong) and 10 describe, no refund is due. That includes a part-used period, a change of billing interval, unused included Builds or any other allowance, reaching an allowance, a credit Section 4 says is not paid out, a trial that ended, and a change of mind after the first 30 days.
8. Disputing a charge with your bank
Please ask us first: a refund through billing@assemblywright.ai is faster than a dispute, and Paddle's Buyer Terms also ask you to contact Paddle before disputing a charge. If you dispute a charge, Paddle answers the dispute with evidence of the purchase and, where needed, of the Service's use (such as when the Workspace was used and which Builds ran), which we may give it (Privacy Policy, Sections 3 and 4.1). While a dispute is open, we may switch off the paid features or suspend the Customer Account (Terms, Section 11.4). We do not delete content, disconnect a Connected Org or write to one because of a dispute. A dispute decided in your favor counts as your Section 1 refund, and when we learn of it we cancel the subscription; that is a step a person at AssemblyWright takes by hand, and a renewal charged before we take it is refunded (Section 10). A dispute that is not upheld does not cancel fees you owe.
9. Your rights under law
The Service is sold for business use (Terms, Section 2.2), so consumer cancellation rights do not normally apply. Where they do — for example, if Paddle sells to you as a consumer in the EU, the EEA, Switzerland or the UK — Paddle, as the seller, deals with the statutory right to withdraw under its own Buyer Terms, and Section 1 is available alongside that right, but a payment is refunded only once. Nothing here limits rights you have under the law of your country. That sentence keeps the rights that such a law gives you and does not allow a contract to take away; it does not create new ones.
10. Charges made in error, and tax
Charges made in error. Once we confirm the error, we refund it as Section 2 describes, whether or not you have had the Section 1 refund. These are refunded in full: a duplicate charge, including what a second subscription charged for days the first had already paid for (Section 4); a renewal charged after your cancellation took effect, after you wrote to us to cancel, or after your request for the Section 1 refund reached us; a renewal charged after we, or Paddle, refunded in full a payment that this policy says ends the subscription, after a dispute about a payment was decided in your favor (Section 8), or after we terminated the Agreement (Section 7); a renewal charged while we had your Customer Account suspended under the AUP, unless an amount was also unpaid (Section 6) — if the suspension is later lifted, the subscription is billed again from that day; a package or billing interval you did not order; and a charge for a Build, usage or an overage where neither your checkout nor your Order names a rate for it (Terms, Section 4.2). For a new price charged without the notice Section 4.10 of the Terms requires, we refund the difference between the new price and the price before it, for that period, or, if you ask within 30 days of the charge, the whole charge, and we then cancel the subscription. Please tell us at billing@assemblywright.ai within 90 days of the charge so we can trace it; we will still correct an older error that our records or Paddle's show.
Tax. Paddle charges and refunds sales tax and VAT. If you were charged tax you did not owe — for example, because you have a VAT or GST number — Paddle can refund that tax if you give it a valid tax number within 60 days of the transaction. That refund is Paddle's to make, and it does not use up your Section 1 refund.
11. Prepaid credits and usage add-ons
Prepaid credits, usage add-ons and pay-as-you-go usage are not sold (Terms, Section 4.3): a consumption-based way of paying for Builds has been proposed, nothing in it is built or on sale, and before any of it can be bought this policy will say whether unused credits are refundable. Until then nothing in it applies to credits, and credits that have been used will never be refundable. These credits are different from the billing credit a change of package earns (Section 4).
12. Changes to this policy
We may update this policy. We post each version here with its effective date and keep every earlier version, which we will send on request. For a material change we will email the Workspace owner at least 30 days before it takes effect. A change required by law may take effect sooner, with notice as soon as practicable. A change that is not material takes effect when posted. A change applies only to payments made after it takes effect: each payment is refunded, or not, under the policy that was in force when it was made. Section 16.3 of the Terms applies as well, including the right to cancel before a material change takes effect and receive a refund of the fees prepaid for the unused term. We also tell Paddle of every change.
